SpaceX to Buy EchoStar Spectrum Licenses in $17 Billion Deal, Enhancing Starlink’s Direct-to-Cell Network

SpaceX struck an unprecedented deal with EchoStar, worth $17 billion, to purchase EchoStar’s AWS-4 and H-block spectrum licenses – effectively enhancing Starlink’s direct-to-cell network and allowing for new connections between its users and mobile or direct above device(s). The deal consists of as much as $8.5 billion in cash and an equal amount in SpaceX stock, representing one of the biggest business developments of the year in the satellite and telecommunications space.

SpaceX will also be obligated to fund $2 billion in interest payments owed to EchoStar’s debt until November 2027, all demonstrating the depth of the financial and operational relationship that SpaceX will assume in the transaction.

Revolutionizing satellite connectivity with Starlink Direct-to-Cell

EchoStar, a recognized leader in advocating for 5G Spectrum Standards and developing satellite direct-to-cell technology, has partnered with SpaceX’s innovative Starlink satellite net. The partnership will connect Boost Mobile subscribers, using EchoStar’s cloud-based 5G core to Starlink Direct to Cell, Starlink’s service that will eliminate mobile dead zones and create seamless cellular mobile coverage spanning the globe.

Hamid Akhavan, EchoStar’s Chief Executive Officer, stated, “For nearly ten years, we have been aware of and investing in spectrum and supporting globally 5G spectrum-based standards and devices, anticipating that satellite direct-to-cell technology would fundamentally change global communication.” He continued, “By combining EchoStar’s licensed spectrum asset with SpaceX’s launch and satellite technologies, we intend to deliver that vision in a more agile, economical, and rapid manner for consumers around the world.” Gwynne Shotwell, SpaceX’s Chief Operating Officer, said they had similar enthusiasm, stating, “This effort will accelerate our goal of eliminating mobile dead zones worldwide.”

Deal structure and financial Impact

The deal, worth $17 billion from cash and SpaceX equity, also includes SpaceX making cash interest payments on $2 billion in debt for EchoStar, until November 2027, which alleviates EchoStar’s debt burden and allows it to pursue future growth plans. The proceeds of the deal will primarily pay off EchoStar’s debt and reinvest its remaining proceeds into core businesses including DISH TV, Sling, and Hughes, which are not affected by the spectrum sale.

This deal responds to Federal Communications Commission (FCC) scrutiny of EchoStar’s spectrum use as well as resolves regulatory concerns and opens the commercialization potential of the spectrum in SpaceX’s ambitious plans to deploy the network.

What this Means for consumers and industry

For mobile subscribers, especially those with Boost Mobile, the agreement gives direct access to Starlink’s innovative Direct-to-Cell service using EchoStar’s cloud-native 5G infrastructure. This will provide text, voice, and data connectivity everywhere on Earth including rural areas, disaster sites, and maritime or extreme remote locations that hadn’t been reachable until now. The updated satellite mesh will allow off-the-shelf cell phones to connect directly with Starlink’s constellation to provide messaging, calling, browsing, navigation, and IoT services on a global basis.

SpaceX, meanwhile, is reportedly developing advanced Starlink satellites that can use exclusive spectrum, thereby increasing throughput by a factor of 20 and providing 5G services on par with resilient terrestrial networks. With ongoing partnerships with carriers such as T-Mobile, Rogers, KDDI, and Kyivstar with continued integration into their networks of Direct-to-Cell for emergency and rural connectivity solutions, this acquisition secures the leadership position of Starlink’s global coverage innovation.

Regulatory approval and closing timeline

EchoStar anticipates that the deal will alleviate the FCC’s inquiries into the question of its ownership and planned spectrum deployment. Following completion of the sale, regulatory approval and other closing conditions will be required before EchoStar will be able to close the sale and obtain ownership of Hughes. As is the case with other large telecom transactions, legal and financial advisors from both parties are in place to assist, support, and provide counsel regarding regulatory and compliance issues for an effective integration, with the intent being to create seamless integration and improve products and services in the marketplace from Day One of closing.

The SpaceX-EchoStar deal represents a significant milestone for satellite communications and mobile coverage. As Starlink deploys its new mesh network around the world with exclusive use of the new spectrum, one of the last hopes for universal connectivity, Direct-to-Cell, anywhere, anytime, moves closer to reality for over a billion subscribers.
